Terms of Service

These Terms of Service ("Terms") govern your use of the services provided by MigrateLab ("we", "us", "our"). By engaging our services or making a payment, you ("Client", "you") agree to these Terms.

1. Services

MigrateLab provides website migration and development services, including but not limited to:

• Migration of websites from existing platforms (e.g., Webflow, WordPress) to modern frameworks (e.g., Astro, Next.js)
• Front-end development and design implementation
• Content migration and data pipeline setup
• CMS configuration and deployment
• Hosting setup and CI/CD configuration

The specific scope of work for each engagement is defined in a separate Statement of Work (SOW) or proposal agreed upon by both parties.

2. Payment Terms

• Fixed pricing - all projects are billed at a fixed price as specified in the SOW. Billing is not based on hours worked.
• Milestone payments - payments are tied to project milestones as defined in the SOW.
• Payment method - payments are processed through Stripe. By making a payment, you also agree to Stripe's Terms of Service.
• Currency - all prices are quoted in USD unless otherwise specified.
• Late payments - invoices are due upon receipt unless otherwise specified. Work may be paused if payments are overdue by more than 14 days.

3. Intellectual Property

• Client ownership - upon full payment, the Client owns all deliverables produced under the SOW, including source code, content, configurations, and documentation.
• Pre-existing IP - any tools, libraries, or frameworks used that are open-source or third-party remain under their respective licenses.
• Portfolio rights - MigrateLab may reference the project (company name and general description) in its portfolio and marketing materials, unless the Client requests otherwise in writing.
• Before full payment - deliverables remain the property of MigrateLab until final payment is received.

4. Client Responsibilities

To ensure smooth project delivery, the Client agrees to:

• Provide timely access to existing platforms, accounts, and content as needed.
• Respond to requests for feedback or approvals within a reasonable timeframe (typically 3 business days).
• Provide accurate and complete information about project requirements.
• Designate a single point of contact for project communication.

5. Refund Policy

• Proof of Concept (POC) - POC payments are non-refundable once work has begun. If the POC is not satisfactory, the Client is under no obligation to proceed with the full project.
• Unused milestones - if the project is terminated before a milestone is reached, payments for incomplete milestones will be refunded in full.
• Completed work - payments for completed and delivered milestones are non-refundable.

6. Project Timeline & Delays

Timelines provided in the SOW are estimates based on the agreed scope. MigrateLab will make reasonable efforts to meet projected deadlines. Delays caused by the Client (e.g., late access, delayed feedback, scope changes) may extend the timeline accordingly.

7. Scope Changes

If additional work is requested beyond the agreed SOW, MigrateLab will provide a written estimate for the additional scope. Additional work will only proceed upon mutual written agreement. Minor adjustments and bug fixes within the original scope are included at no extra cost.

8. Warranties & Limitation of Liability

• MigrateLab warrants that all deliverables will substantially conform to the specifications in the SOW.
• We will fix any bugs or defects in our deliverables reported within 30 days of final delivery at no additional cost.
• MigrateLab is not liable for issues arising from third-party services.
• Our total liability for any claim shall not exceed the total amount paid by the Client for the specific project in question.
• MigrateLab is not liable for indirect, incidental, or consequential damages.

9. Termination

• Either party may terminate the engagement with 7 days written notice.
• Upon termination, the Client will be invoiced for work completed up to the termination date.
• Deliverables completed and paid for will be transferred to the Client.
• MigrateLab reserves the right to terminate immediately if payments are overdue by more than 30 days.

10. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement. This obligation survives termination of the engagement.

11. Governing Law

These Terms are governed by the laws of Finland. Any disputes shall be resolved in the courts of Finland, unless both parties agree to alternative dispute resolution.

12. Changes to These Terms

We may update these Terms from time to time. Changes will be posted on this page with an updated effective date. Existing engagements will continue under the Terms in effect at the time the SOW was agreed upon.
